TERMS OF SERVICE AGREEMENT

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("you" or "User") and PDFblu.com ("Company," "we," "our," or "us") governing your access to and use of our services, including online software, mobile applications, APIs, and any related or affiliated services (collectively, the "Services").

BY REGISTERING FOR AN ACCOUNT, JOINING, OR USING THE SERVICES, YOU EXPRESSLY CONSENT TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT OR USE THE SERVICES.

1. SERVICES 1.1 Scope of Services

The scope of the Services available to you is described on the PDFblu.com website and/or in your subscription or order form, which sets forth applicable business terms such as service plan, pricing, duration, usage limits, and other relevant details ("Subscription Terms").

1.2 User Account
You are the sole authorized user of your account, as permitted by your Subscription Terms. Your account is personal to you and may not be shared, transferred, or used by any other individual, including members of your organization.

You are responsible for all activity conducted through your account, including any unauthorized access. You must maintain the confidentiality of your login credentials and promptly notify Company of any suspected unauthorized use.

1.3 Third-Party Services
The Services may integrate or offer optional third-party services ("Third-Party Services") governed by separate terms and conditions. Company does not control or warrant Third-Party Services unless expressly stated by the third party. By using Third-Party Services, you authorize Company to share necessary account data and Your Content to enable such services.

The Services rely on third-party networks, internet providers, and device manufacturers beyond Company's control. Company is not responsible for service interruptions or failures caused by such third parties.

1.4 Modifications to the Services
Company may enhance, update, modify, or discontinue aspects of the Services at any time. Company will not materially reduce or discontinue core functionality except as permitted under this Agreement.

2. OWNERSHIP

2.1 Ownership of Your Content

"Your Content" includes documents, images, personal information, and other materials you upload or process using the Services. You retain all ownership rights to Your Content and are solely responsible for ensuring it complies with applicable laws and third-party rights.

2.2 Company Content
"Company Content" includes all materials, software, data (including aggregated and anonymized usage data), templates, formats, and other content provided by Company. Company retains all rights to Company Content, and no ownership rights are transferred to you. All rights not expressly granted are reserved by Company.

2.3 Third-Party Content
"Third-Party Content" is content owned by parties other than you or Company. Such content may be referenced or displayed within the Services and is provided "AS IS" without warranties or support commitments.

3. USE LICENSE 3.1 License Grant

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes only, as permitted by your Subscription Terms.

3.2 Acceptable Use Restrictions

You agree not to:

  1. Resell, distribute, or make the Services available to unauthorized parties
  2. Reverse engineer, decompile, or disassemble the Services
  3. Circumvent security features or technical restrictions
  4. Share login credentials or use automated access methods
  5. Upload or transmit unlawful, abusive, fraudulent, obscene, or harmful content
  6. Use the Services to develop or support competing offerings
  7. Disrupt or overload the Services
  8. Impersonate another person or misrepresent identity
  9. Violate any laws or third-party rights
  10. Attempt any of the foregoing

3.3 Enforcement
Company may suspend or terminate access to the Services if it reasonably determines that you have violated this Agreement. Company will make commercially reasonable efforts to notify you following enforcement actions.

4. PAYMENT TERMS

4.1 Fees
You agree to pay all fees in accordance with your Subscription Terms. Fees are non-refundable unless expressly stated otherwise. Unused services expire at the end of the subscription period unless carryover is explicitly permitted.

4.2 Automated Billing
You authorize Company to charge your designated payment method for all applicable fees, including recurring charges. Company may perform a nominal authorization charge to verify your payment method.

4.3 Taxes
You are responsible for all applicable taxes, including sales tax, VAT, or GST. Company may collect taxes retroactively if required by law.

4.4 Fee Changes
Company may modify fees with notice. Changes take effect at the start of your next subscription period.

4.5 Billing Support
For billing questions or disputes, contact customer support at 1-855-537-2328 or via support@pdfblu.com before disputing charges with your financial institution.

5. SUBSCRIPTION PACKAGES 5.1 Subscription Options

PDFblu.com offers multiple subscription tiers (e.g., Basic, Premium, ProPlus) billed monthly at displayed rates.

5.2 Automatic Renewal
Subscriptions automatically renew monthly unless cancelled before the end of the current billing cycle.

5.3 Cancellation
You may cancel at any time by contacting customer support. Access continues until the end of the current billing period.

5.4 Refund Policy
Refund requests within thirty (30) days of any charges are always granted pending Company policy.

5.5 Money-Back Guarantee
If you cancel within thirty (30) days of your initial subscription, you may request a refund of the initial charge.

6. ELECTRONIC COMMUNICATIONS

You consent to receive electronic communications related to your account, payments, security, and marketing. You may opt out of marketing communications at any time.

7. WARRANTIES

7.1 Limited Warranty
Company warrants that the Services will substantially conform to the Subscription Terms and be delivered using commercially reasonable security practices.

7.2 Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.3 No Professional Advice
The Services do not provide legal or professional advice. Consult a qualified professional for advice specific to your circumstances.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Company's total liability will not exceed the greater of $100 or the fees paid by you during the twelve (12) months preceding the claim.

9. INDEMNIFICATION

You agree to indemnify and hold Company harmless from claims arising from Your Content, your breach of this Agreement, or your violation of law.

10. PERSONAL DATA

Personal data is processed in accordance with the PDFblu.com Privacy Policy

11. TERM AND TERMINATION

This Agreement remains in effect until terminated by either party. Company may terminate for cause, including non-payment or violations of this Agreement.

12. NO CLASS ACTION / JURY WAIVER

You waive the right to participate in class actions and waive any right to a jury trial, to the extent permitted by law.

13. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Delaware. Disputes must first be submitted to non-binding mediation.

14. CHANGES TO TERMS

Company may update this Agreement from time to time. Material changes take effect at the start of your next subscription period.

15. MISCELLANEOUS

  • Force majeure events excuse performance delays
  • Invalid provisions do not affect enforceability
  • Assignment permitted in mergers or asset sales
  • Electronic notices satisfy legal requirements
